Thank you for your interest in being a guest on The School for Psychics (the “Podcast”)!

The Podcast is produced and distributed by TSFP Group LLC DBA The School for Psychics (and its licensees or assigns) (referred to as “Host”), and this Podcast Guest Appearance Contract (the “Agreement”) contains all of the terms and conditions applicable to your participation in the Podcast (referred to as your “Appearance”).

As a condition of your Appearance, and by signing this Agreement, you agree as follows:

1. Estimated Release Date. Host may, in Host’s sole discretion, give you an estimate release date for the Podcast episode containing your Appearance, but in no way does Host guarantee any particular release date.  

2. Promoting Your Appearance. Host invites you to promote the Podcast and your appearance on the Podcast on or after the date your Appearance airs and is available to the public. Host permits you to use the Podcast logo and/or podcast art for your own press-related purposes, including use on a press bar or in your media kit, so long as you request an official logo file from Host. You may only make any modifications to the logo Host delivers to you with Host’s written permission.

3. If Your Interview Goes South (And Other Not-Ideal-Scenarios). In the unlikely event that your interview does not go according to plan or expectations, Host is not obligated to publish, distribute, display, or otherwise use any recordings that result from your Appearance. The decision whether to publish, distribute, or otherwise use your Appearance will be made in Host’s sole and exclusive discretion. In other words, just because Host has conducted an interview with you does not guarantee that that interview will ultimately be made available to the public.

4. You Have All Necessary Rights to Any Materials You Submit to Host. As a guest on the Podcast, you might submit content to the Host – such as your biographical information or other text, headshots or other photographs, audio recordings or audiovisual clips, graphic designs, or other creative content. (These things are referred to in this Agreement as the “Materials”).

You guarantee that you own all necessary rights in the Materials to allow Host to display, publish, broadcast, and otherwise use the Materials – whether on a website for the Podcast, on social media, or in any other media – for educational, informational, promotional, or any other purpose related to the Host and/or the Podcast. If you do not own the Materials, you guarantee that you have the proper permissions and rights to the Materials necessary to allow Host to use those Materials for the purposes described in this Section. Regardless of ownership, you guarantee that the Materials do not infringe on the rights of any other person or business including, but not limited to, any copyright, right of publicity, or right to privacy of anyone else.

5. You Allow Host to use Your Name, Image, and Likeness (In Connection with the Podcast and Host). You grant Host permission to use, reproduce, distribute, publish, stream, and publicly display, in any form, your image or visual likeness, name, and/or voice (your “Likeness”) in connection with the Materials and in connection with Host’s website, the Podcast, and/or informational, educational, advertising, or promotional materials related to Host.

6. Host Owns All Rights to Any Recordings Containing Your Appearance. You assign to Host any and all rights to any recordings, including, but not limited to, recordings that contain your Likeness, that result from your Appearance (the “Recordings”), and including the worldwide copyrights in those Recordings (and any and all renewal and extension rights) throughout the world. Host will have the exclusive right to copyright any Recordings under Host’s name as the sole owner and author of such Recordings.

7. Editing Rights; No Final Inspection or Approval Rights. Host (and/ or Host’s team or contractors, if applicable) has the sole right and authority to edit and modify your Appearance on the Podcast in Host’s discretion. Host will never edit or modify your Appearance in a way that portrays you in a negative or inaccurate light.

You waive the right to inspect the final podcast episode before it is published (if it is published).

Despite the terms of the preceding sentence, you have the option to provide Host with a pre-approved photograph and/or biographical information. If you do not provide such information prior to the deadline by which Host requests it, Host will have the option of a) pulling biographical information from your website, if you have one, or b) delaying, postponing, or cancelling your Appearance.

8. Consideration, Otherwise Known as the Benefit You Receive for Entering into This Agreement. Being interviewed by the Host and appearing on the Podcast not only gives you the opportunity to be heard in connection with a particular story or subject matter, but allows your name, brand, and/or story to be distributed to a large audience. You acknowledge that the consideration listed in this Section is the only consideration you will receive regarding your Appearance and for the grant of rights granted by you in this Agreement. For clarity, you will not receive any financial compensation in exchange for your Appearance or for any rights granted by you in this Agreement.

9. If Someone Sues or Makes a Claim Against the Host Based On Your Breach of this Agreement, Your Appearance, or Falsehoods and/or Misrepresentations You Made in this Agreement, You Must Pay Host for Any Damages that Host Incurs as a Result. In other words, you will indemnify and hold Host harmless against any and all claims, liability, judgment, damages, costs, or expenses Host incurs as a result of your breach of this Agreement. Expenses and costs under this Section include reasonable attorneys’ fees and costs.

10. Governing State Law; Venue for Any Disputes; Jurisdiction. This Agreement will be governed and interpreted by the laws of the State of Kansas applicable to contracts entered into and wholly performed within that state, regardless of conflicts of law principles. The state and federal courts of Sedgwick County, Kansas, will be the exclusive forum and venue to resolve disputes arising out of or relating to this Agreement.

11. Miscellaneous. This Agreement is the entire agreement between you and Host regarding the subject matter in this Agreement and stands in the place of any previous oral or written agreement. This Agreement will be binding upon the respective parties’ successors. This Agreement may not be modified except in a written document signed by both parties. The headings in this Agreement are for reference only and do not affect the interpretation of this Agreement.
